中外合资经营公司合同

 

This Sino-Foreign Equity Joint Venture Agreement (this “Agreement”) is entered into this ___ day of January, 2008, in accordance with the Law of the People’s Republic of China on Sino-Foreign Equity Joint Ventures (the “Joint Venture Law”), the implementing regulations issued thereunder (the “Joint Venture Regulations”), and other applicable laws and regulations of the People’s Republic of China (the “PRC”), by and between APTC, a Hong Kong company (“APTC”), and YaJie, a natural person and a citizen of the PRC (“YJ”, and collectively with APTC, “Parties” and each, a “Party”).
本合资经营合同由下述双方依据《中华人民共和国中外合资经营公司法》和《中华人民共和国中外合资经营公司法实施条例》(以下统称为“合资法”)以及中国正式颁布的其它相关法律法规于2008年1月_____日签订：

甲方：香港APTC有限公司（以下简称APTC）
与
乙方：中华人民共和国公民、自然人YaJie（以下简称YJ）。
甲方和乙方在本合同中可以单独称为“一方”，或合称为“双方”。

Preliminary Statement

前言
The Parties hereby agree to jointly establish a Sino-foreign equity joint venture company (the “JV Company”) in LY, the province of Fujian, People’s Republic of China, on the basis of the principles of equality and mutual benefit in accordance with the terms and conditions set forth below and with applicable laws and regulations.
合同双方特此本着平等互利的原则并遵照下述条款和相关法律规定的基础上在中华人民共和国福建省LY共同成立一家合资经营公司。
