Article 2.      Representations and Warranties

 

第二条 声明和保证
Each Party hereby represents and warrants to the other Party that, as of the date hereof,
任何一方向另一方兹此声明并保证如下（自签署之日起）：

Its or his execution, delivery and performance of this Agreement, the Articles of Association of the JV Company (the “Articles of Association”) and other agreement and document contemplated hereby will not violate any agreement or obligation of such Party, any judgment or arbitral award binding on such Party, or any law, regulation, decree or rule (the “PRC Laws”) that may be applicable to any aspect of the transactions contemplated hereby. 任何一方或其有关的关联公司签署、交换和履行本合同或本合同中所提及的任何其它合同，将不会违反该方或其有关联公司的组建文件、其它合同或义务，也不会违反在任何方面可适用于本合同预期交易的中国现行有效的法律、条例或法令。

Upon full execution by both Parties, the provisions of this Agreement shall constitute its or his valid, legal and binding obligations. 双方正式开始履行合同之时，本合同即构成甲方合法、有效和具有约束力的义务。

It or he has disclosed, in writing, all material information in its or his possession relating to the cooperation between the Parties set forth in this Agreement, as well as the establishment and operation of the JV Company, which may have a material adverse effect on its or his ability to perform its or his obligations hereunder, or which if disclosed to the other Party, could have a material effect on the other Party’s willingness to enter into this Agreement, and none of the information provided by it or him to the other Party contains any material statements which are false or misleading. 一方根据本协议向另一方提供所有与本合同双方合作有关的书面资料，以及对该方履行下述义务的能力可能产生切实不利影响同时又关于本合资公司的业务和经营状况的资料，或是若其透露给另一方并可能对另一方执行本合同的意愿造成切实影响的资料。所有由其向另一方提供的信息不包含任何错误和误导性的书面陈述。

No lawsuit, arbitration, other legal or administrative proceedings or governmental investigation is pending, or to its or his knowledge, threatened, against it, that would affect in any way its or his ability to enter into and perform this Agreement. 对于任何一方或其有关的关联公司，目前并没有正在进行、悬而未决、或就该方或其有关的关联公司所知可能会提起的诉讼、仲裁或行政程序，以免任何妨碍其履行本合同的能力。

Each Party shall indemnify the other Party against all losses, expenses and liabilities arising from a breach of any of the foregoing representations and warranties, and from such Party’s breach of its or his obligations hereunder. 由任何一方违反上述陈述和保证以及下述义务导致另一方产生的所有损失、费用和债务应由该方补偿。
